THIS AGREEMENT TO SELL AND PURCHASE LAND is made on this ___th day of _______, 2010 by and between:

(1)   ___________ Co., Ltd./ ________Mrs. __________ a Thai national and holder of I.D card no.____ / limited company, with registration no. _____, residing at ________/ having its registered address at ___________ , represented by its Authorised Director, Mr. ______, a _____ national and holder of Passport number _______ ("Seller")

(2)    ________ Company Limited, a Thai limited company, with registration no. _____________, having its registered address at _______ Thailand represented by its Authorised Director,  Mr. _________, a ______ National and holder of passport number ___________ ("Purchaser")

WHEREAS:

(a)    The Seller owns a certain plot of land situated at _________________, Thailand;

(b)    The Seller wishes to sell the plot of land to the Purchaser and the Purchaser wishes to purchase the plot of land from the Seller.

NOW, THEREFORE, both parties hereto do hereby agree to enter into an agreement according to the following terms and conditions:

  1. The Land to be Purchased

The Seller agrees to sell and the Purchaser agrees to purchase the plot of land comprising a total land area of __ rai and ____ Ngan and ___ talang wah located in ________Province, Thailand, and represented by Land Title Deed No.___, Book ____ kor, Page ___, Land no. ____ evidenced here in Schedule "A" and hereinafter referred to as the "Land".

2.  The Purchase Price

The Seller agrees to sell and the Purchaser agrees to purchase the Land and all structures on such land for the total purchase price of Baht ___________________ (Baht ) hereinafter referred to as the "Purchase Price".
